consider copyright issues.
if it is a static site technically yes. If it is dynamic (a forum, blog, cms,
wordpress, joomla etc) yes you can copy it as is but does not mean you have
the template/theme and you cannot change the content without going in the html
file itself ie dashboard/admin area will not work for changes
